Responsibilities

• Corporate and Securities Paralegal
• Assist in formations, venture capital financing of private companies
• Provide support in mergers and acquisitions, limited and general partnerships, IPO’s and other securities offerings.
• Assist private and public company clients with some aspects of stock incentive program administration including state and federal securities law compliance.

Required

• Three to five years of experience in the areas of securities and/or general corporate law.
• Proficiency in Word and Excel.
• Excellent written, verbal and interpersonal communication skills.
• Good judgment, initiative and flexibility.

Responsibilities

• Function as an integral part of the private funds team by (i) assisting with each phase of fundraising, including assisting with investor negotiations, preparing documents, and organizing and maintaining fund documents/closing sets and (ii) assisting with private fund transactions and operational matters, including liaising with deal team paralegals; 
• Assist attorneys with daily market research on regulatory and legislative developments, significant players, recent transactions and general trends in the private investment and funds sector; 
• Maintain databases with up-to-date market research and assist with PPT presentations on fund developments for clients and seminars 

Required

• College graduates with high GPAs from a top college or university 
• Minimum 2- 5 years experience working in a large law firm as a funds paralegal. 
• Ability to work independently and as part of a team; 
• Ability to work efficiently in a fast-paced, highly pressured environment and multi-task, organize and prioritize numerous tasks and complete them in a timely manner 
• Meticulous organizational skills; 
• Strong research and analytical skills; 
• Ability to think independently and use good judgment; 
• Excellent written and interpersonal communication skills; 
• High level of computer skills (including all programs used by the firm, including but not limited to: MS Office including Excel and Adobe Professional) and ability to learn new technology quickly 
• Professionalism; and Willingness to work very long "well paid" overtime hours on a moment’s notice.
