Position Summary

Oversee, direct and manage various client accounts with little supervision. Advise and assist clients in all aspects of the production process done under a wide variety of collective bargaining agreements, with a focus on the SAG-AFTRA Commercials Contract and the organization’s advertising clients.

Duties and Responsibilities include:

  • Build strong customer relationships
  • Offer clients continuous advice and consultations regarding union contracts and applicable labor laws
  • Be quick and attentive to a customer's problems or requests
  • Provide clients with accurate and comprehensive estimates. Revise and update estimates as needed
  • Calculate and process session and residual payments due based on the requirements of the applicable collective bargaining agreement
  • Assist with or handle talent negotiations for clients
  • Advise clients on celebrity agreements
  • Act as liaison between the client and the talent, crew, unions or agents and advocate client’s position in the event of any disagreements
  • Develop and maintain relationships with representatives throughout the industry to enhance the resources used to complete the duties and responsibilities
  • Keep up to date with industry and union rulings, contract expirations and the potential cost implications and other specific matters that concern the client’s business
  • Seek out various industry organizations, attend meetings and seminars and find other opportunities to continue growth within the organization and support the organization’s growth within the industry
  • Articulate, describe and market the services of the organization to prospective clients both passively, as inquiries come in to the organization and actively on an as needed basis
  • Assist, support and help train junior account managers in all aspects of client support
  • Work with technical and network support staff to maintain secure business operating systems for remote office
  • Travel as needed to complete duties and responsibilities
  • This can be a mostly remote position if desired

Qualifications

  • Minimum of a Bachelors degree or equivalent business experience
  • Five plus years’ experience in the commercial advertising industry
  • Experience working with the SAG-AFTRA Commercials Contract
  • Excellent communication skills, written and oral
  • Excellent end user computer skills with an ability to adapt to and use fast paced technological changes and enhancements

  • Assists with entity management and payment of vendor invoices;
  • Provides intermittent overflow support by working directly with attorneys on all phases of corporate transactions, including due diligence, transaction signing, transaction closing and post-closing work.

SKILLS & KNOWLEDGE;

Knowledge of corporate documents (name, purpose, format); types of corporate transactions (mergers, acquisitions, tender offers (hostile and friendly), IPOs, LBOs, securities offerings, etc.); transaction sequences and what is involved in each phase (pre-transaction research, negotiating sessions, Securities and Exchange Commission filings, closings and post-closing activities); and SEC filing rules and EDGAR filings

  • Ability to work independently and as part of a team;
  • Ability to organize and prioritize numerous tasks and complete them under time constraints;
  • Ability to maintain working knowledge of Firm’s practice areas and procedures associated with each practice area;
  • Ability to consistently evaluate and upgrade practice support service and technology;
  • Ability and willingness to take on additional responsibilities as the need arises;

KEY RESPONSIBILITIES

The Corporate Paralegal will assist in all stages of corporate transactions and in the preparation of documents necessary to comply with federal, state and local requirements in the conduct of business activities.

  • Assist attorneys to prepare and manage corporate documents/materials.
  • Support all aspects of merger and acquisition transactions and other transactions, including due diligence organization/review, document preparation, closing mechanics and post-closing administration.
  • Corporate maintenance and clean-up, including but not limited to, maintaining the company organizational chart and chart of officers and directors/managers as well as prepare and draft all resolutions, consents, officer’s certificates, as needed, for the company’s subsidiaries, joint ventures and affiliates in any state.
  • Prepare documentation related to all aspects of corporate governance matters for domestic and international subsidiaries.
  • Work directly with lawyers to prepare regulatory filings with regard to securities offerings.
  • Draft resolutions and minutes of stockholders, board of directors and committee meetings.
  • Draft corporate and UCC filings, perform lien searches, liaise with service company as well as track and maintain invoicing records for filings, lien searches and annual representation for the company’s subsidiaries, joint ventures and affiliates.
  • Prepare, process and maintain regulatory filings (i.e. articles of incorporation, bylaws, state qualifications filings, annual reports, proxies, SEC-related, quarterly 10Q and S4 filings, etc).
  • Assist lawyers in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies. 
  • Create and maintain worldwide corporate records database and entity charts.
  • Assemble, proof and edit drafts of contracts and various other legal documents.
  • Establish, organize, and maintain administrative and legal department files.

Required

  • 4+ years of corporate paralegal experience, including handling all stages of transactions and Corporate filings
  • Must have knowledge of corporate governance and entity types and experience with corporations, dissolutions, and various corporate transactions
  • Proficient in MS Office; knowledge of Westlaw or Lexis Nexis preferred
  • The ability to multitask, work well under pressure, complete assignments in an accurate and timely manner, and maintain confidentiality 
  • Strong interpersonal, verbal and written communication skills
  • Highly adaptable, proactive and organized
  • Bachelor's degree and/or Paralegal Certificate preferred

Administrative Duties

  • Coordinate and manage calendar and deadlines for trials, depositions, business and client meetings, conference calls, appointments, travel and personal matters

  • Prepare, schedule and attend deposition proceedings including retention of court reporters, preparation of witness and expert files, digesting transcripts and maintaining original documentation
  • Prepare answers to summons and complaints, answers to interrogatories, fact and expert witness lists and exhibit lists, summary judgment motions as well as prepare analysis evidencing product exposure
  • Summarize deposition and trial exhibits and transcripts
  • Assist with trial preparation, including, organizing and preparing trial exhibits, trial notebooks and binders; scheduling, coordinating and communicating with clients, experts and fact witnesses
  • Provide day-to-day trial support; manage and deliver documents, exhibits and all other special requests
  • Maintain monthly/yearly billable hours requirements

Requirements

  • 2+ years of legal assistant experience supporting at least one Partner and two Associates
  • Demonstrated knowledge of all phases of the litigation process
  • Strong proofreading, editing and formatting skills; ability to create TOC/TOAs and conduct document comparisons
  • Skilled with time entry, calendar and case management, expense reporting, docketing, trial preparation, legal research, travel coordination and client service
  • Ability to cite-check, including bluebooking and shepardizing
  • Prior experience working with at least one of the following litigation case management and e-discovery software:  Summation, Concordance, Worldox, Kroll, Relativity, Clearwell etc.
